1. Agreement & acceptance
These Terms form a binding agreement between you (and any organization you represent) and CineCLI. By creating an account, accessing or using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service. If you accept on behalf of an organization, you represent that you have authority to bind it.
2. Eligibility & accounts
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the service. You agree to provide accurate, current and complete account information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account, and must notify us promptly of any unauthorized use.
3. The service
CineCLI generates short-drama video and related media from your inputs using foundation models. Features may include beta or preview functionality that is provided “as is”, may change or be discontinued, and may carry additional limitations. We may modify, add or remove features over time.
4. Acceptable use
Your use of the service is subject to our Acceptable Use Policy and Responsible AI Policy, which are incorporated into these Terms by reference. You must not misuse the service, attempt to circumvent safety controls, or use it to create unlawful, deceptive or infringing content.
5. Customer content & input
You retain ownership of the prompts, scripts, uploads and other content you submit (“Customer Content”). You grant CineCLI a limited, worldwide, non-exclusive license to host, process, transmit and display Customer Content solely to provide, secure and improve the service and to enforce our policies. You represent and warrant that you have all rights, consents and permissions necessary to submit Customer Content and to authorize its processing, including any third-party likeness, brand or copyrighted material.
6. Generated output & ownership
Subject to these Terms, our policies and applicable law, you own the output you generate (“Output”) and may use it for your purposes. You acknowledge:
- Provenance. Output carries watermarking and provenance metadata (such as C2PA content credentials), which you must not remove, alter or obscure.
- No uniqueness guarantee. Similar inputs may produce similar Output for different users; we do not guarantee Output is unique or non-infringing.
- Your responsibility. You are responsible for reviewing Output for accuracy, rights clearance and suitability before publishing or distributing it.
7. CineCLI intellectual property
The service, including its software, models configuration, user interface, trademarks and documentation, is owned by CineCLI or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, reverse engineer, resell or create derivative works of the service except as permitted by law.
8. Third-party models & services
CineCLI is built on Amazon Bedrock and may rely on foundation models and services provided by AWS and third-party model providers. Your use of the service is also subject to the applicable AWS and model-provider terms and acceptable-use policies. We are not responsible for third-party services we do not control.
9. Fees & billing
Paid plans are billed in advance on a recurring basis and renew automatically unless cancelled before the renewal date. Fees are exclusive of taxes, which you are responsible for. Current pricing is available on our Pricing page. You authorize us and our payment processor to charge your payment method for all amounts due.
10. Confidentiality
Each party may access non-public information of the other in connection with the service. The receiving party will protect such confidential information with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need to know and are bound by similar obligations, or as required by law.
11. Disclaimers
The service and all Output are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied or statutory, including fitness for a particular purpose, merchantability, non-infringement and availability. AI-generated Output may be inaccurate, incomplete or unsuitable, and you should independently verify it before relying on or publishing it.
12. Limitation of liability
To the maximum extent permitted by law, CineCLI and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to the service will not exceed the amounts you paid for the service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, which may not apply to you.
13. Indemnification
You agree to defend, indemnify and hold harmless CineCLI and its affiliates from claims, damages and expenses (including reasonable legal fees) arising out of your Customer Content, your Output, or your use of the service in violation of these Terms, our policies or applicable law.
14. Suspension & termination
You may stop using the service and close your account at any time. We may suspend or terminate access if you violate these Terms or our policies, if required by law, or to protect the service, other users or third parties. Upon termination, your right to use the service ceases; provisions that by their nature should survive (such as ownership, disclaimers, liability limits and indemnities) will survive.
15. Changes to the service or terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide additional notice. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law & dispute resolution
These Terms, and any dispute arising out of or relating to them or the service, are governed by the laws and subject to the courts identified below, without regard to conflict-of-laws rules.
17. Miscellaneous
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- Entire agreement. These Terms, together with the policies referenced herein, form the entire agreement between you and CineCLI regarding the service.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- No waiver. Our failure to enforce any provision is not a waiver of it.
